Louis T. M. Conti is a partner in Holland & Knight's Orlando and Tampa offices, a member of the Public Companies and Securities Practice Group, and the leader of the firm's Technology and Emerging Companies Team. He assists clients in a broad range of corporate and business matters including corporate governance, venture capital investments, mezzanine and subordinated debt transactions, public and private equity placements, mergers, stock and asset acquisitions and dispositions, corporate and partnership equity and debt financings, asset based financings, leveraged buy-outs and LLC and partnership ventures. His clients include emerging and established technology companies, domestic and foreign public and private companies, venture capital and private equity funds, commercial lenders, investment advisors and registered broker-dealers.
Mr. Conti is a former chair of the Corporations and Securities Committee of The Florida Bar Business Law Section, and a former chair of the Tax Section of The Florida Bar. He chaired or served as Co-Chair of drafting committees of The Florida Bar in revisions of the Florida Business Corporation Act, the Florida LLC Act, The Florida Partnership Act, and the Florida Limited Partnership Act. He also lectures extensively at state and National business law conferences and institutes.
He is listed in the current Edition of Best Lawyers in America in two fields, corporate law and tax law. He is also listed in Florida Trend's Legal Elite, and in Who's Who in American Law. After earning his B.S., with honors, from LaSalle University, Mr. Conti completed his M.B.A., with honors, at Drexel University, his J.D. at Creighton University, and his LL.M. in taxation at Temple University.

Les W. Eiserman is Shareholder and Director of Auditing, Litigation, Accounting and Consulting Services at Chastang, Ferrell, Sims & Eiserman, L.L.C. In that capacity, he directly oversees the planning, performance and review of accounting, litigation, consulting and valuation procedures. Mr. Eiserman has more than 22 years of auditing and consulting experience and more than 12 years of valuation services to public and privately-held business. Additionally, he acts as expert testimony and provides litigation support services and investigation analysis. Formerly, Mr. Eiserman was Manager of Audit and Financial Consulting Services in the Orlando office of Arthur Andersen & Co.
He is a member of the American and Florida Institutes of Certified Public Accountants, the National Association of Certified Valuation Analysts and the American College of Forensic Examiners. He is also a member of the Association of Certified Fraud Examiners, the Business Valuation Forensic Litigation Services division of AICPA and serves on the Board of the Association for Corporate Growth, Central Florida Chapter.
Mr. Eiserman is active in the community, having served as a former Board member for the University of Central Florida Student Alumni Association and the Golden Knights Club. He is a member of Leadership Orlando Alumni Association and serves as Chairman of the Boys and Girls Club of Central Florida.
Mr. Eiserman is a licensed CPA in the state of Florida, a Certified Valuation Analyst and a Diplomat with the American Board of Forensic Accounting. A graduate of the University of Central Florida with a B.S. in Accounting, he also holds a Masters in Business Administration from the University of Central Florida. Mr. Eiserman is a licensed life, health and variable annuity insurance agent. |
Drew A. Graham

Drew A. Graham is Managing Partner and co-founder of Ballast Point Ventures. Ballast Point Ventures was founded in 2001. Prior to that, Mr. Graham spent six years at South Atlantic Venture Funds. He joined South Atlantic in 1995 and was both a Principal and General Partner in South Atlantic Ventures Fund IV. He has participated in numerous venture capital investments across several industries, including communications, software, health care and business services.
Mr. Graham began his private equity career with the Merchant Banking Division of Morgan Stanley & Co., Inc. in New York from 1989 to 1991. He graduated from Princeton University in 1989 with a Bachelor's degree, magna cum laude, and from the Harvard Graduate School of Business Administration in 1995 with an MBA, with Distinction. |
Dave Felman

David S. Felman joined Hill, Ward & Henderson in 1998 and is a shareholder in the firm. He graduated with distinction from the Duke University School of Law (Order of the Coif) in 1982 and in 1979 received his BA degree (magna cum laude) from Wake Forest University, where he was a member of Phi Beta Kappa.
Mr. Felman is a member of the firm's Corporate and Business Group. He has practiced banking, corporate, and securities law both in Tampa and in New York City. While with Simpson Thacher & Bartlett in New York, his practice focused on acquisitions and public and private securities offerings, including representation of a major leveraged buy-out firm and several major underwriting firms. Since returning to Tampa in 1990, Mr. Felman's practice has principally involved securities offerings, venture capital investments, mergers and acquisitions, and general representation of established and emerging growth companies. Mr. Felman acts as counsel to a number of institutional venture capital investors, including Lovett Miller & Co., Incorporated, Ballast Point Venture Partners, Advantage Capital, Stonehenge Capital, and Inflexion Fund, L.P. He also acts as counsel to a number of “angel” investors. He also acts as counsel to public companies with respect to securities and governance matters, including Exchange Act reports, SRO requirements, audit and compensation committee practices, annual meetings, and general advice to Boards of Directors.
Mr. Felman is a member of the Alumni Council of Wake Forest University, the Board of Directors of the Florida Venture Forum, and the Foundation of St. Joseph’s Hospital. He is a founder of the annual Florida Directors’ Institute, an annual program on corporate governance for public company directors at the University of Tampa School of Business. He is a past president of the Tampa Bay Business Committee for the Arts. |
